Terms and Conditions of The Upper Room
Definitions
a. The Upper Room: The web design company located at Orthenseweg 2e5 – 5212XA – s’-Hertogenbosch, registered with the Chamber of Commerce under number 17204827.
b. Client: The natural or legal person with whom The Upper Room enters into an agreement.
Applicability
a. These general terms and conditions apply to all quotations, agreements and services of The Upper Room, unless otherwise agreed in writing.
Tenders and Agreements.
a. All quotations are without obligation unless otherwise expressly stated.
b. An agreement is established at the time of written acceptance of the quotation by the client.
Intellectual Property
a. All intellectual property rights in the products and services provided by The Upper Room remain the property of The Upper Room unless otherwise agreed in writing.
Payment
a. Initial payment must be made within 14 days of the invoice date. After the first payment, we get started.
b. The final payment dients be paid before the project goes live/delivered.
Liability
a. The Upper Room shall not be liable for damages incurred as a result of incorrect or incomplete information provided by the client.
b. Liability of the contractor for indirect damage, consequential damage, loss of profit, lost savings, diminished goodwill, damage due to business stagnation, damage resulting from claims of customers of the client, mutilation or loss of data, damage related to the use of goods, materials or software of third parties prescribed by the client to the contractor, damage related to the engagement of suppliers prescribed by the client to the contractor and all other forms of damage, in any way whatsoever, is excluded unless intentional.
Force majeure
a. In case of force majeure, The Upper Room is not bound to fulfill the contract. Force majeure means any circumstance beyond the control of The Upper Room that temporarily or permanently prevents fulfillment of the agreement.
Governing Law and Disputes
a. Dutch law applies to all agreements.
b. Disputes will be submitted to the competent court in ‘s-Hertogenbosch.
